Ambassador Terms of Service

Welcome to the Cubrin Ambassador Program. These Terms of Service ("Terms") govern your participation in the Ambassador Program operated by Cubrin (a product of AREMU Group). By accessing the Ambassador Portal or participating in the program, you agree to be bound by these Terms.

1. Independent Contractor Status

You acknowledge and agree that your participation in the Cubrin Ambassador Program establishes an independent contractor relationship. You are not an employee, partner, legal representative, or franchise owner of Cubrin or AREMU Group. You have no authority to bind Cubrin to any contracts, legal obligations, or guarantees.

2. Eligibility

To participate, you must be a currently enrolled student at a recognized Nigerian university or have explicit written approval from the Cubrin team. You must be at least 18 years of age and possess the legal capacity to enter into this agreement.

3. Ambassador Responsibilities & Scope of Work

As a Cubrin Ambassador, you are tasked with expanding the Cubrin ecosystem on your campus. Your responsibilities include:

  • Vendor Onboarding: Assisting local food vendors, provision stores, and campus businesses in setting up their digital storefronts. This includes guiding them through inventory uploads (e.g., inputting their top items or collecting catalog data).
  • Student Acquisition: Promoting the Cubrin app to students and demonstrating core features like Split Bill, Open Market requests, Direct Chat, and Secure Pickups.
  • Accurate Representation: You must accurately explain Cubrin's operational model. Crucially, you must inform vendors and customers that Cubrin does not provide a centralized dispatch fleet; vendors are responsible for managing their own local riders and fulfillment.
  • Feedback Collection: Acting as a liaison between the campus community and the Cubrin development team to report bugs, feature requests, and market feedback.

4. Prohibited Conduct

To protect the integrity of the platform, Ambassadors must strictly adhere to the following rules. Violation will result in immediate termination and forfeiture of pending commissions:

  • Do not create fake vendor accounts, phantom user profiles, or generate artificial transaction volume to inflate commission metrics.
  • Do not engage in spamming, harassment, or high-pressure sales tactics in person or via digital channels (e.g., WhatsApp broadcasts).
  • Do not collect payments directly from customers or vendors on behalf of Cubrin. All financial transactions must occur within the Cubrin app.
  • Do not make false promises regarding platform features, app performance, or promotional discounts that Cubrin has not officially authorized.

5. Commissions & Payouts

Ambassadors earn commissions based on successful, verified onboarding of active vendors and user acquisitions linked to their unique referral codes.

  • "Active" is defined by Cubrin's internal metrics (e.g., a vendor completing a minimum number of live orders, or a user verifying their account and making a purchase).
  • Commissions are credited to your Ambassador Ledger and can be withdrawn to your verified Nigerian bank account subject to standard processing times.
  • Cubrin reserves the right to withhold, cancel, or reverse payouts if fraud, policy violations, or chargebacks are suspected.

6. Confidentiality & Data Privacy

During your tenure, you may have access to sensitive vendor information (e.g., business details, contact information, inventory data). You agree to keep all such information strictly confidential. You must handle all user and vendor data in compliance with the Nigerian Data Protection Act (NDPA) and Cubrin's Privacy Policy. You may not use this data for any purpose outside of your direct Ambassador duties.

7. Intellectual Property & Brand Usage

Cubrin grants you a limited, non-exclusive, revocable license to use official Cubrin logos, marketing materials, and brand assets solely for the purpose of promoting the app on your campus. You may not alter these assets or use them in a way that harms the brand's reputation. Upon termination of this agreement, you must immediately cease using all Cubrin intellectual property.

8. Term and Termination

This agreement is effective upon your acceptance and continues until terminated by either party. Cubrin reserves the right to suspend or permanently revoke your Ambassador status at any time, with or without cause, and without prior notice. You may also resign from the program at any time by notifying the Cubrin team.

9. Limitation of Liability

To the maximum extent permitted by law, Cubrin and AREMU Group shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your participation in the Ambassador Program. Your use of the Ambassador Portal is at your own risk.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts located in Nigeria.

11. Modifications

Cubrin reserves the right to modify these Terms, commission structures, or program rules at any time. We will notify Ambassadors of significant changes via the portal or email. Continued participation in the program after such updates constitutes your acceptance of the revised Terms.
